Find out more about our Transaction Advisory Services below:

Commercial Due Diligence

Our commercial due diligence professionals help clients better understand the future performance of a company or a specific industry. We take a forward looking approach in analyzing relevant market, competitive, and customer information to gain a perspective on the commercial factors/risks around a transaction. Our professionals use all of this information to challenge assumptions surrounding a transaction and provide the necessary insight for our clients to make informed decisions about the future factors facing their particular investment.

Restructuring

Our restructuring professionals help companies and investors improve their total expected return in times of transformation and deteriorating performance and growth. They help clients understand what’s gone wrong, improve liquidity, and evaluate and implement work-out or turnaround processes that will restore profitability and improve returns to their stakeholders. If turnaround is not achievable, they devise strategies to work out vendor financing defaults and to comply with bankruptcy and other requirements.

Transaction Integration

Our transaction integration professionals help clients prepare and execute an integration/carve-out plan that will identify synergies/sources of value and mitigate risks. They understand the factors that drive successful integration or carve-out activities and make it their job to learn about the intricacies of each organization involved in a deal. Using these insights, they leverage the knowledge and experience of their transaction colleagues to help every deal achieve its full potential.

Transaction Real Estate

Our transaction real estate professionals work with clients in both the private and public sector. They help clients achieve the potential of their real estate assets, portfolios or companies by developing capital market strategies for acquiring or disposing of real estate. Our advisory services include feasibility studies, valuations and project management.

Transaction Support

Our transaction support professionals help clients achieve their strategic goals, whether they are acquiring, divesting, restructuring or executing an initial public offering. Our teams work with many of the world’s largest organizations, fastest growing companies and private equity firms on some of the most complex deals in the global market. Through analysis of financial and operational data, transaction support professionals provide insights to key decision makers of transacting companies, helping them to maximize value and reduce the risks and uncertainty surrounding transactions. Our teams identify key value drivers, challenge assumptions about future performance and work with other Ernst & Young service teams to deliver an integrated solution to our clients.

Transaction Tax

Our transaction tax professionals help companies understand the tax implications of their transactions, whether an acquisition, disposal, refinancing, internal restructuring, company integration or an initial public offering. They focus on mitigating transaction risk, enhancing opportunity and providing crucial negotiation insights. Our teams look after clients of all sizes across all industries, working closely with colleagues around the world, including those from different disciplines. In this dynamic and fast-moving environment, you’ll apply your skills to a variety of transactions, from acquisitions of small family-owned concerns to significant, newsworthy deals.

Valuation & Business Modeling

Our business modeling professionals help decision-makers assess and plan the efficient allocation of resources in organizations. Using sophisticated modeling and quantitative analysis techniques, they develop business and financial models for how to structure a business or a new venture. Valuation professionals provide an objective view of critical assumptions and uncertainties so clients and their investors understand the deal better — from revenue and tax structure strategies, to investment drivers that create value. In this team, you’ll work across a range of businesses and sectors.

Working Capital Advisory Services

Our working capital professionals work with corporations, private equity firms and their portfolio companies to improve working capital management. They help clients understand the likely sources of potential cash flow that can be released from accounts receivable, inventory and payables. Our professionals help clients understand, evaluate and implement options that quickly and sustainably improve cash flows. In addition, we work with potential investors to help them assess the potential value that might be unlocked from working capital prior to closing a transaction. You’ll gain experience working with a variety of businesses across a range of sectors, developing the skills and knowledge you need to be a successful advisor in this area.
